Terms of Service
Reorderly. Last updated 2026-10-30.
Agreement
These terms are an agreement between İzzet Uzunalioğlu, sole proprietorship trading as Caelus Technology ("we", "us") and the business that installs the Shopify app "Reorderly" (the "app") in its store ("you", the "merchant"). By installing or using the app you accept these terms on behalf of that business. The app is offered to businesses only, not to consumers.
Your use of Shopify itself is governed by Shopify's own terms. If these terms conflict with Shopify's Partner Program or App Store terms on how apps are billed or reviewed, Shopify's terms prevail for that point.
The service
The app gives your B2B buyers a page in their Shopify customer account to search past orders, reorder, keep saved lists, export CSV and download invoices, and lets you set company and location pricing. Which features are available depends on your plan, as shown on the app's Plans page.
We may improve, change or remove features. If a change removes a paid feature you rely on, we will tell you in the app or by e-mail in advance where we reasonably can.
Plans, billing and the trial
Paid plans are billed through Shopify and appear on your Shopify invoice. Prices, the free trial and any discount are shown on the Plans page and on Shopify's approval screen before you are charged. You can change or cancel a plan at any time from the Plans page or by uninstalling the app.
We may change prices for future billing periods with at least 30 days' notice; the change applies only after you approve it in Shopify.
Refunds and cancellation
Cancelling a plan on the Plans page, or uninstalling the app, stops future charges.
Charges already made are not refunded, except where Shopify's billing rules or applicable law require it. Shopify handles prorations and credits under its own billing rules.
To ask for a refund, write to support@caelustechnology.com.
Your responsibilities
You remain responsible for your store and your business. In particular:
- Prices, discounts, taxes and order totals. See "Company pricing and discounts" below.
- Invoices. The app produces invoice PDFs from your Shopify order data and the invoice settings you enter. You are responsible for their content and for meeting the invoicing and tax rules that apply to you; the app is not a certified e-invoicing or fiscal system.
- Your buyers. You decide who has access to your store's customer accounts and company locations, and you handle your buyers' requests, consents and communications, including any reorder reminder e-mails you send through Shopify Flow.
- Lawful use. You will not use the app to break the law, infringe others' rights, send unsolicited messages, interfere with the app or try to access data of other shops.
Company pricing and discounts
Company pricing creates a Shopify discount from the rules you enter. You must check every pricing rule and the resulting Shopify discount, in the cart and at checkout, before you rely on it and before you sell at those prices.
The prices, discounts and order totals that your buyers see are your responsibility.
To the extent the law allows, we are not liable for loss from incorrect prices or discounts, including price differences, lost profit or lost revenue. This applies whether the cause is a rule you entered or an error in the software. It does not limit liability for intent or gross negligence.
Data and privacy
Our Privacy Policy describes what data the app processes, where it is stored and how long it is kept. For personal data of your buyers that the app receives from Shopify, you are the controller and we process it on your behalf, only to provide the app and as described in the Privacy Policy.
You own your store data. When you uninstall the app, it is deleted as the Privacy Policy describes. The Data Processing Addendum at /dpa forms part of these terms.
Help assistant
The Help page includes an AI assistant. Its answers are generated automatically, are not reviewed by a person and can be wrong. Do not rely on them for legal, tax or financial decisions; contact support for anything important. Do not enter buyer or other personal data into the assistant.
Support
Support is by e-mail and through the Help page in the app.
The reply times shown in the app are target response times. They are not a service level agreement or a binding commitment. We use reasonable efforts to meet them. Weekends and public holidays in Turkey are not counted.
Our intellectual property
The app, its code and its design belong to us. While your installation is active you have a non-exclusive, non-transferable right to use the app for your store. You may not copy, resell or reverse engineer it, except where the law allows this regardless of these terms.
Availability and warranties
We work to keep the app available and correct, but it is provided "as is" and "as available". The app depends on Shopify and on hosting providers, and we do not guarantee that it will be uninterrupted or error-free. To the extent the law allows, we disclaim all implied warranties, including fitness for a particular purpose.
Limitation of liability
To the extent the law allows, our total liability arising from the app or these terms in any 12-month period is limited to the fees you paid us for the app in that period, and we are not liable for indirect or consequential loss such as lost profits, lost revenue or lost data.
Nothing in these terms limits liability for intent or gross negligence, or any other liability that cannot be limited under the applicable law.
Termination
You can stop using the app at any time by uninstalling it. We may suspend or end your access if you seriously breach these terms, if Shopify requires it, or if we stop offering the app; where we stop offering it we will give at least 30 days' notice.
Changes to these terms
If we change these terms we will update the date at the top of this page. For material changes we will tell you in the app or by e-mail at least 30 days before they apply. Continuing to use the app after that date means you accept the new terms.
Governing law and disputes
These terms are governed by the laws of the Republic of Turkey, excluding the United Nations Convention on Contracts for the International Sale of Goods. The courts and enforcement offices of Ankara, Turkey have jurisdiction, unless mandatory law in your country gives you a right to bring proceedings elsewhere. Before going to court, please contact us so we can try to resolve the issue.
Language
These terms may be provided in English and Turkish. If the two texts conflict or differ, the English text prevails. A Turkish translation is at /tr/terms.
